DENVER -- Western Gas Resources, Inc. (NYSE:WGR) announced today that its wholly owned subsidiary, Western Gas Resources-Oklahoma, Inc. ("WGRO"), has completed the purchase of Panhandle Gathering Company’s ("PGC") 50-percent interest in Westana Gathering Company ("Westana"). The transaction was funded from Western's existing bank credit facilities and has an effective date of Jan. 1, 2000.

WGRO was the managing partner and 50-percent owner of Westana, a general partnership formed in August 1993 with PGC, a wholly owned subsidiary of Duke Energy Field Services, Inc. Westana owns and operates an 800-mile, gas-gathering system in northwestern Oklahoma and southwestern Kansas and a 45 MMcf per day gas processing facility. During 1999 Westana averaged 67 MMcf per day of natural gas throughput, 93 MGal per day of NGL production and connected 92 new wells.

Lanny Outlaw, president and CEO, commented, "This purchase demonstrates our previously stated intent to selectively invest in high-return, growth projects within our core areas of operation which provides immediate cash flow and maximizes the future profitability of our gathering and processing activities. Our ownership of 100 percent of Westana further solidifies our position in northwestern Oklahoma and provides consolidation opportunities with our Chaney Dell plant and gathering system operations."
